Terms of Service

1. Agreement

These Terms of Service (the “Terms”) govern your use of the Loocero application and related services (the “Service”), operated by Aktivbrain LLC (“Loocero”, “we”, “us”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.

2. The Service

Loocero is a software application for organizing personal financial data — transactions, budgets, goals, accounts, holdings, and related records. The Service includes a financial dashboard, manual entry tools, CSV and PDF import, optional bank connectivity via Plaid, and an AI chat assistant.

Loocero is not a bank, broker, investment adviser, registered investment adviser, tax adviser, insurance company, consumer reporting agency, or creditor. Nothing in the Service constitutes financial, investment, tax, or legal advice. Loocero is not a “consumer report” under the Fair Credit Reporting Act (FCRA) and we do not take “adverse action” as defined in the FCRA. We are not a financial institution as defined under the Gramm-Leach-Bliley Act (GLBA). See our AI Disclaimer for additional limitations specific to the AI chat feature.

3. Eligibility

You may use the Service only if:

• You are at least 18 years old.
• You are a resident of the United States. Loocero is currently offered to US residents only.
• You can form a binding contract with Loocero and are not barred from doing so under applicable law.

4. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at [email protected] if you believe your account has been compromised. We use Supabase Auth for credential storage and never see your raw password.

5. Subscriptions and billing

5.1 Free tier and Pro tier

The Service offers a Free tier (manual accounts, CSV import, budgets, goals, AI chat with limited context) and a paid Pro tier. The Pro tier currently costs USD $14.99 per month, billed monthly. The Pro tier adds Plaid bank and investment-account connectivity (capped at fifteen active connected Plaid accounts and thirty active manual accounts per user) and full AI-chat context. Pricing may change with notice.

5.2 Auto-renewal — please read carefully

Your Pro subscription automatically renews each month at USD $14.99 (or the then-current monthly price) until you cancel. We will charge the payment method on file at the start of each new billing period. You authorize Loocero, through Stripe, to charge that payment method on a recurring basis until you cancel.

5.3 How to cancel

You may cancel at any time from the in-app Settings page (“Manage billing” button) or by emailing [email protected]. Cancellation takes effect at the end of your current billing period; you retain Pro access through that date. We do not provide refunds for partial months.

5.4 Failed payments

If a renewal payment fails, Stripe may retry the charge for up to three weeks (the standard dunning window). During that window your Pro features remain available; if payment is not collected by the end of the window the subscription transitions to the Free tier.

5.5 Taxes

Listed prices do not include any sales, use, value-added, or similar taxes that may apply. You are responsible for any such taxes assessed on your subscription.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service except as permitted by law.
• Probe, scan, or test the vulnerability of the Service without prior written authorization, or breach any security or authentication measures.
• Resell, sublicense, or commercially exploit the Service or any portion of it.
• Upload financial records you do not have the right to use, or upload another person’s financial data without their authorization.
• Use the Service to send spam or to abuse the AI chat feature in a way that imposes unreasonable load on us or our processors.

7. Your content

You retain all rights to the financial records and other content you put into the Service. You grant Loocero a limited license to host, process, and display your content solely to operate the Service for you. We do not use your content to train any AI model.

8. Intellectual property

Loocero and its underlying software, design, brand, and documentation are the property of Aktivbrain LLC and are protected by copyright, trademark, and other laws. The Loocero repository is proprietary and not open source; the NOTICE file at the repository root reserves all rights. These Terms do not grant you any right to our marks or other intellectual property except the limited right to use the Service as permitted.

9. Third-party services and your authorization

The Service depends on third-party processors (Supabase, Plaid, OpenAI, Stripe, Vercel, Sentry, Resend — see /privacy §3). Your use of features that depend on those processors is also subject to their respective terms and privacy policies.

When you connect a financial institution through Plaid, you authorize Loocero and our service providers to access information at that institution on your behalf, retrieve account and transaction data, and use that information to provide the Service. You represent that you have the right to provide this authorization for each account you connect.

We are not responsible for the acts or omissions of those processors beyond our contract with them.

10. AI features

AI-generated output may be incomplete or inaccurate. Verify any figure that informs a financial decision. See the AI Disclaimer for full limitations.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF FINANCIAL CALCULATIONS. We do not warrant that the Service will be uninterrupted, error-free, or that financial calculations are correct. You are responsible for verifying any number that informs an actual financial decision.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOCERO AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID LOOCERO IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13. Indemnification

You agree to indemnify and hold Loocero harmless from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of (a) your violation of these Terms, (b) your misuse of the Service, or (c) your infringement of any third-party right.

14. Termination

You may stop using the Service at any time by closing your account. We may suspend or terminate access if you materially breach these Terms or use the Service in a way that creates risk to other users, our processors, or us. On termination the licenses granted in §7 end and you must stop using the Service.

15. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Wake County, North Carolina, and you consent to the personal jurisdiction of those courts.

16. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. We will provide reasonable notice of material changes. Continued use of the Service after changes take effect constitutes acceptance.

17. Miscellaneous

These Terms, together with our Privacy Policy and AI Disclaimer, are the entire agreement between you and Loocero regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent.
